Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the SharesMint website, memberships, issuer dashboards, stock-tokenization tools, document upload tools, issuance workflows, verifier pages, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What SharesMint Is

SharesMint is a software tool that helps authorized issuers create digital issuance records and tokenized share representations tied to company stock records.

The Services may include:

  • issuer memberships,
  • document upload workflows,
  • issuance metadata generation,
  • wallet-connected minting flows,
  • verifier links,
  • enterprise mint workflows,
  • dashboard and record-management tools,
  • related support and administrative functions.

SharesMint is a software and workflow platform. It is not a law firm, transfer agent, broker-dealer, stock exchange, investment adviser, custodian, or government registry unless expressly stated otherwise in writing.

2. Eligibility and Authorization

You must be at least 18 years old, or the age of legal majority where you live, to use the Services.

You represent and warrant that:

  • you are legally able to enter into these Terms,
  • you have authority to act on behalf of the issuer, company, or entity whose shares you are tokenizing,
  • you have the right to upload any certificate, cap-table, or issuance materials you submit,
  • your use of the Services complies with applicable law.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. No Legal, Securities, Tax, or Compliance Advice

SharesMint provides software tools for preparing and recording tokenized issuance data. SharesMint does not provide legal advice, securities-law advice, tax advice, transfer-agent services, listing approval, broker services, or regulatory clearance.

You are solely responsible for:

  • determining whether your issuance is lawful,
  • obtaining any legal advice you need,
  • deciding whether your tokenized representation matches your company records,
  • complying with applicable securities, corporate, tax, transfer, disclosure, and jurisdictional requirements,
  • determining whether any secondary-market or transfer use is permitted.

Use of SharesMint does not make an issuance legal, compliant, tradable, or accepted by any regulator, transfer agent, venue, broker, investor, or court.

4. Issuer Responsibility for Records

You are solely responsible for all data, documents, metadata, certificates, wallet addresses, share classes, unit counts, holder information, and other inputs you submit through the Services.

You represent that information you submit is accurate to the best of your knowledge and that you have authority to create, approve, or submit it.

SharesMint does not independently verify:

  • that a company validly authorized the issuance,
  • that a share certificate is genuine,
  • that a holder is legally entitled to receive tokens,
  • that uploaded records are accurate,
  • that a transfer is lawful,
  • that a tokenized record reflects enforceable ownership in every jurisdiction.

5. Wallets and Wallet-Linked Issuance

Some features require a supported wallet and blockchain interaction.

You are solely responsible for:

  • choosing and controlling your wallet,
  • safeguarding private keys, seed phrases, passwords, and devices,
  • confirming the correct address, chain, and token,
  • understanding that changing wallets may affect access to records or workflow controls,
  • understanding that blockchain transactions may be public, permanent, and irreversible.

We are not responsible for losses caused by phishing, compromised wallets, wrong-address activity, unsupported networks, user error, third-party wallet failures, or chain-level issues.

6. Document Uploads, IPFS, and Metadata

The Services may allow you to upload share certificate PDFs and related files, generate issuance metadata JSON, pin materials to IPFS or similar storage, and reference that data from an on-chain record on a supported network.

You understand and agree that:

  • uploaded materials may be stored on third-party or distributed infrastructure,
  • IPFS-linked materials may be accessible through public gateways,
  • metadata and wallet addresses may be visible to others depending on how the issuance is configured,
  • once written onchain or pinned publicly, certain records may be difficult or impossible to remove fully.

You are responsible for deciding what information to include in files, metadata, and verifier links.

7. Transferable and Non-Transferable Configurations

SharesMint may support both transferable and non-transferable tokenization flows.

You are solely responsible for selecting the configuration you use and for determining whether that configuration is appropriate for your company, documents, investor rights, jurisdiction, and intended market behavior.

SharesMint does not guarantee that a transferable configuration will be accepted by any venue, ATS, exchange, transfer agent, regulator, or investor.

8. Enterprise and Premium Access

Certain Services may require a paid plan, including Premium or Enterprise membership access. Some enterprise workflows may be gated to Enterprise members only.

A paid membership gives access only to the features included in that plan. It does not guarantee:

  • legal sufficiency,
  • regulatory approval,
  • investor acceptance,
  • exchange or ATS onboarding,
  • secondary-market listing,
  • uninterrupted system availability,
  • compatibility with every wallet or provider.

9. Acceptable Use

You agree not to:

  • submit forged, stolen, or misleading documents,
  • tokenize shares without proper authority,
  • misrepresent ownership, authorization, or company status,
  • use the Services for fraud, unlawful securities activity, or deceptive conduct,
  • upload malware or malicious code,
  • interfere with platform security or availability,
  • scrape, reverse engineer, or exploit the Services except as allowed by law,
  • infringe privacy, intellectual property, or other rights.

We may investigate suspected misuse and may suspend, restrict, remove, or terminate access where appropriate.

10. User Content

You may submit PDFs, metadata, identifiers, wallet addresses, descriptions, support messages, and related materials (“User Content”).

You retain ownership of your User Content, but you grant SharesMint a limited, non-exclusive, worldwide license to host, process, store, reproduce, display, and use that content as reasonably necessary to provide, secure, maintain, improve, and support the Services, enforce these Terms, and comply with law.

You represent that you have all rights and permissions necessary to submit User Content.

11. Third-Party Services

The Services may rely on or link to third-party services such as:

  • wallets,
  • payment processors,
  • Aurpay or similar crypto checkout providers,
  • storage providers,
  • blockchain infrastructure,
  • IPFS pinning services,
  • analytics providers,
  • hosting providers,
  • verifier or explorer services.

We do not control and are not responsible for third-party uptime, privacy practices, pricing, security, or performance. Your use of third-party services is governed by their own terms and policies.

12. Intellectual Property

The Services, including software, branding, workflows, interfaces, text, graphics, design, and related materials, are owned by SharesMint or its licensors and are protected by law.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes.

13. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, quiet enjoyment, and results.

We do not warrant that:

  • every issuance will be legally valid,
  • every document upload will be accepted or pinned,
  • every wallet interaction will succeed,
  • every verifier page will remain available,
  • every tokenized record will be accepted by a third party,
  • the Services will be uninterrupted, secure, or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, SharesMint and its affiliates, owners, licensors, service providers, and personnel will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of data, loss of goodwill, financing losses, securities-law issues, listing failures, wallet losses, or third-party claims arising from or related to the Services.

Our total liability for any claim relating to the Services will not exceed the greater of:

  • the amount you paid us in the 12 months before the event giving rise to the claim, or
  • USD $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless SharesMint and its affiliates, owners, officers, contractors, licensors, and service providers from and against claims, liabilities, losses, damages, judgments, and expenses arising out of or related to:

  • your use of the Services,
  • your User Content,
  • your issuance records or tokenized shares,
  • your violation of these Terms,
  • your violation of law or third-party rights.

16. Suspension and Termination

You may stop using the Services at any time.

We may suspend, restrict, or terminate access at any time if we believe you violated these Terms, created legal or security risk, failed to pay required fees, or used the Services in a harmful or unlawful manner.

Sections that by their nature should survive termination will survive.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, unless applicable law requires otherwise.

18. Dispute Resolution

Before filing a formal claim, you agree to first contact us and attempt to resolve the dispute informally in good faith.

If a dispute cannot be resolved informally, it shall be brought exclusively in the state or federal courts located in Wyoming, unless applicable law requires a different forum.

19. Changes to These Terms

We may update these Terms from time to time. The updated version becomes effective when posted, unless otherwise stated. Your continued use of the Services after revised Terms are posted constitutes acceptance of the updated Terms.
